CONSTITUTION AND BYLAWS
OF
GODDARD CHINESE AMERICAN CLUB

NASA GODDARD SPACE FLIGHT CENTER

ARTICLE I
NAME
The name of this organization shall be THE GODDARD SPACE FLIGHT CENTER CHINESE
AMERICAN CLUB (GCAC), and shall be located at the Goddard Space Flight Center
(GSFC), Greenbelt, Maryland.
ARTICLE
II
OBJECTIVE
SECTION 1
The organization shall be a nonprofit
organization with capital stock.
SECTION 2
The objective of this organization is to promote and provide professional,
social and cultural activities among the club members and in the GSFC
community.
ARTICLE III
MEMBERS
The membership of this club shall be limited to the civil service and
contractor employees at the GSFC, including visiting scholars and resident
research associates, and shall be governed in accordance with the Constitution
and Bylaws of this club. The "contractor" term shall include visiting
scholars and resident research associates.
ARTICLE IV
OFFICERS
SECTION 1
The officers of this club shall be a
president, two vice presidents, a secretary, and a treasurer. At
least one of the officers shall be a civil service employee.
SECTION 2
The executive committee, composed of the officers and chaired by the
president, shall discuss, plan, and execute the club's programs and affairs.
When necessary, ad hoc committees and committee chairpersons may be
appointed by the president.
SECTION 3
Three officers, the Vice President, Treasurer, and Secretary shall be elected
by the club membership each year. The Vice President (or Senior
Vice President in the case of two Vice Presidents) shall become the President
for the next term.
SECTION 4
Officers shall serve without compensation.
ARTICLE V
DUES AND FEES
Annual membership dues may be assessed
by the executive committee.
ARTICLE
VI
VOTING
A majority vote of the club members is
required for electing the club's officers.
ARTICLE VII
AMENDMENT OF CONSTITUTION AND BYLAWS
These Constitution and Bylaws may be amended
at the club's general membership meeting by a two-third (2/3) vote attending,
providing that the amendment is recommended by the executive committee or has
been submitted to the executive committee in writing with more than ten club
members' signatures.
